ECM Phoenix acts solely as a promoter for the goods and services offered by participating businesses. We are not responsible for the quality, safety, legality, or any other aspect of the goods and services provided by participating businesses. These responsibilities rely solely on each participating business relative to their goods and services. Any claims or issues related to goods or services must be directed to the business that provided the goods or services. 

Participating businesses agree to indemnify, defend, and hold ECM Phoenix harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to their goods, services, or business practices. 

ECM Phoenix reserves the right to terminate our promotion of any participating business's goods or services at any time, for any reason, without liability. 

ECM Phoenix’s total liability arising out of or related to our promotion of the participating’s goods and services, regardless of the cause of action, will not exceed the total fees we have received for promoting the specific good or service that is the subject of the claim. 

Any dispute arising out of or relating to this agreement shall be resolved through binding arbitration. The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding. 

All elements of this promotional idea are the exclusive property of the originator (JMA Media Company) and is copyrighted and notarized. All participating businesses agree not to replicate, reproduce, or utilize for their own purposes any images, graphics, concepts, or other intellectual property pertaining to this promotional idea presented by ECM Phoenix without express written consent from the ECM Phoenix through originator.
